Welcome to Adroit. These Terms of Service (“Terms”) govern your access to and use of our website, web applications, and services (collectively, the “Services”).
By registering an account or accessing the Services, you agree to be bound by these Terms on behalf of yourself and the business entity you represent. If you do not agree, do not use the Services.
1. ABOUT THE SERVICES
Adroit (trade name of RGoal Ltd.) provides a B2B platform designed to facilitate, track, and manage commercial complaints and mediation workflows between businesses and online intermediation platforms under applicable EU regulations (including Regulation (EU) 2019/1150).
Adroit is a software, dispute resolution and administrative workflow provider. Adroit does not provide legal advice or legal representation.
2. ACCOUNTS AND REGISTRATION
The Services are intended solely for commercial and professional use by businesses, sole traders, and platform representatives (“Users”). Consumer use is strictly prohibited.
You must provide accurate, complete, and current information when creating an account. You warrant that you have full corporate authority to bind the entity on whose behalf you act.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.
3. ACCEPTABLE USE
You agree to use the Services in compliance with all applicable laws and regulations. You shall not:
Impersonate any natural or legal person or misrepresent your affiliation with any business or platform;
Submit false, fraudulent, defamatory, or misleading complaints, evidence, or communications;
Use bots, scrapers, crawlers, or unauthorized automated tools to access data or compile information from the Services;
Probe, scan, test, or compromise the security or integrity of our systems or networks;
Introduce viruses, trojans, worms, logic bombs, or other malicious code;
Decompile, reverse-engineer, disassemble, or extract source code from the software comprising the Services; or
Use the Services to send unsolicited communications, spam, or promotional material.
We reserve the right to suspend or terminate accounts that violate these rules.
4. USE OF AI ASSISTANCE
The Services may incorporate artificial intelligence (AI) tools to assist with data analysis, document summaries, or preliminary workflow drafting.
All final decisions, complaint reviews, and mediation actions on the platform are evaluated and executed by human decision-makers. AI tools function strictly as supportive technology.
5. INTELLECTUAL PROPERTY & CONTENT
Adroit and its licensors retain all right, title, and interest in and to the Services, software, branding, interface designs, and proprietary workflows.
You retain ownership of all documents, claims, evidence, and commercial data uploaded to your account (“User Content”). You grant Adroit a non-exclusive, worldwide, royalty-free license to host, store, and process User Content solely as necessary to operate and deliver the Services.
6. DISCLAIMER OF WARRANTIES
The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied. Adroit does not warrant that the Services will be uninterrupted, error-free, secure, or that specific dispute outcomes or resolutions will be achieved with target platforms.
7. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law:
Adroit shall not be liable for any indirect, consequential, incidental, punitive, or special damages, or for loss of profits, revenue, data, or business opportunities.
Adroit’s total cumulative liability arising out of or related to these Terms or the use of the Services shall be limited to the total fees paid by you to Adroit in the six (6) months preceding the claim (or €100 if no fees were paid).
Nothing in these Terms excludes liability for gross negligence, willful misconduct, or fraud.
8. TERM AND TERMINATION
Termination by You: You may stop using the Services and close your account at any time via your account settings.
Termination by Us: We may suspend or terminate your access to the Services immediately if you breach these Terms, misuse the platform, or if required to do so by law.
9. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of Malta.
Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Malta.
10. MODIFICATIONS TO TERMS
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the website or via account notification at least 30 days before they take effect, unless urgent changes are required by law. Continued use of the Services after updated Terms become effective constitutes acceptance.
11. GENERAL PROVISIONS
Entire Agreement: These Terms constitute the entire agreement between you and Adroit regarding the use of the Website and Services, supplementing any separate specific service agreements (e.g., Data Processing Agreement or Mediation Procedural Rules).
Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any right or provision does not constitute a waiver of future enforcement.
